TransparencyPassport Terms of Service

These terms are an agreement between Otium ("we", "us") and the business that installs the TransparencyPassport app on a Shopify store ("you"). By installing or using the app, you accept these terms. If you accept them for a company, you confirm you may bind it.
The app is for businesses. It is not a consumer service.
1. What the app does
The app lets you build a Digital Product Passport for each product in your Shopify store: supply-chain steps, EU product fields, a transparency statement, certifications and, on some plans, compliance documents and translations. You can publish each passport as a public web page and as a machine-readable file, print QR codes that open it, and show it on your product pages with theme app blocks. Depending on your plan, you can also give repairers, recyclers and authorities access links to restricted fields, get email notifications, send Shopify Flow triggers and keep nightly backups. The app also shows anonymous view and scan counts.
Features marked "coming" or "planned" in our listing or in the app are not part of the service until we release them. We may change, add or remove features. If we remove a feature you pay for, we will tell you first.
2. What the app is not
- Not legal advice. The EU guide, the gap check and our help texts explain the rules in plain words. They do not tell you that your products comply with any law. Check the rules for your products, or ask an adviser.
- Not a certification. "EU-ready fields complete" means the app's core fields are filled in. It does not mean a product is certified, verified, compliant or registered with any authority.
- No checks on your data. We do not check that what you enter or upload is true. The app shows what you publish. The "Checksum recorded" line on a document only means its fingerprint (SHA-256) was recorded when it was uploaded, so anyone can confirm the file is unchanged. It says nothing about its content.
- Not the EU registry. The EU has not published how businesses connect to its registry. The app records your registration request but sends nothing to the EU today.
- Not the independent backup the EU will require. Our backups protect your data with us. They are not the copy held by an independent DPP service provider that the EU rules foresee.
3. Your account and Shopify
You need a Shopify store, and you must follow Shopify's terms. You are responsible for who can use the app in your Shopify admin. Tell us at [email protected] if you think someone used your store's access without permission.
4. Plans, billing and cancellation
- Plans and prices are shown in the app (Plan page) and in our App Store listing. The Starter plan is free.
- Paid plans are billed by Shopify, in US dollars, every 30 days, on your Shopify invoice. Shopify asks you to approve a paid plan before it starts. Taxes are handled as Shopify sets out.
- Plan limits (passports, supply-chain steps, AI generations, features) are checked on our server. AI allowances reset on the first day of each month (UTC) and do not roll over.
- Changing plans. You can change plans at any time on the Plan page. If you move to a smaller plan, your live passports stay live and your drafts are kept, but you cannot publish more passports than the new plan allows. Features of the higher plan stop: for example, after leaving Business, access links no longer open, nightly backups stop and you cannot add documents (documents already published stay on their passports).
- Cancelling. Switch to Starter, or uninstall the app. Shopify stops the paid subscription.
- Refunds. Charges already billed are not refunded, except where the law requires it or Shopify's billing rules apply. You can ask at [email protected]; we decide case by case.
- Price changes. We may change prices. We will tell you at least 30 days before a new price applies to your subscription. Shopify will ask you to approve a higher price before it applies.
5. Your content
"Your content" means everything you put into the app: passport data, statements, translations, photos and links, documents, settings, templates and CSV files.
- You own your content.
- You give us a worldwide, non-exclusive, royalty-free licence to host, copy, cache, display and send your content, only to run the app for you. That includes publishing the passports you choose to publish, serving them through our hosting, storage and CDN providers, and keeping backups.
- Published passports are public, as a web page and as a machine-readable file anyone can copy. The only exceptions are the fields and documents reserved for repairers, recyclers and authorities, which open through access links. Do not publish personal data or trade secrets you want to keep private.
- Access links work for anyone who has them, until they expire or you revoke them. You decide who gets them and you are responsible for sharing them with the right people.
- Published documents are locked. Once a document is part of a published version, you cannot change or delete it in the app. Check documents before you publish.
You are responsible for your content. In particular, you confirm that:
- it is accurate and not misleading, and you can back up any claim with evidence;
- your environmental and sustainability claims follow the consumer protection rules that apply to you. In the EU this includes the rules on environmental claims and sustainability labels that apply from 27 September 2026 (Directive (EU) 2024/825);
- you have the right to use any names, logos, certification marks, photos and documents you add;
- it does not contain personal data you are not allowed to publish.
We may remove or take offline content that breaks these terms or the law, or that we are legally required to remove. We will tell you unless the law forbids it.
6. AI features
AI auto-fill, AI statements and AI translations create drafts from your product data. AI output can be wrong or incomplete. Review every draft before you publish it. You are responsible for what you publish, whether you or the AI wrote it. If our AI provider is unavailable, the app may fall back to a simple template, which does not count against your allowance.
7. Acceptable use
Do not:
- use the app for anything unlawful, deceptive or harmful;
- try to break, overload, scrape or get around the limits or security of the app;
- access other merchants' data;
- resell or rebrand the app without our written permission;
- use the passport pages to host content unrelated to your products.
8. Privacy
Our Privacy Policy explains how we handle data. Where we process personal data for you, our Data Processing Addendum applies and forms part of these terms.
9. Availability and support
We work to keep the app running, but we do not promise it will always be available or free of errors. We may pause it for maintenance or security. There is no service-level agreement unless we sign one with you.
Support is by email at [email protected]. Paid plans get priority in our queue. We aim to reply within 1 business day.
Some parts of the app depend on Shopify, Google, DigitalOcean, Cloudflare, Resend and other providers. We are not responsible for their outages or changes. Email notifications work only once we have switched on email delivery for the app.
10. Uninstalling and your data
- When you uninstall, your passports go offline at once. Passport links, printed QR codes, access links and the product-page blocks stop working.
- 48 hours after you uninstall, Shopify asks us to erase your shop's data, and we do, including your documents and your backups. Erased data cannot be recovered.
- Export your passports and analytics as CSV, and download any documents you need, before you uninstall.
The EU expects passports to stay available for a product's lifetime. If that applies to you, plan for it before you uninstall.
11. Our rights
We own the app, its code, design and brand. These terms give you the right to use the app while it is installed. They do not transfer any of our rights to you. If you send us feedback, we may use it without paying you.
12. Warranties
You use the app "as is" and "as available". To the extent the law allows, we give no warranties, express or implied, including fitness for a particular purpose, merchantability or non-infringement. We do not warrant that the app makes your products compliant with any law.
13. Limits on liability
To the extent the law allows:
- we are not liable for indirect or consequential losses, lost profits, lost revenue, lost data or fines imposed on you;
- our total liability for all claims in any 12-month period is limited to the fees you paid us for the app in those 12 months, or USD 100 if that is more.
Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
14. Indemnity
You will cover our reasonable costs and losses from third-party claims about your content or your product claims, or about your breach of these terms or the law.
15. Ending the agreement
You can end it at any time by uninstalling the app. We can end it, or suspend your access, if you seriously break these terms, if the law requires it, or if we stop offering the app. If we stop offering the app for reasons other than your breach, we will give you at least 30 days' notice so you can export your data.
Sections 2, 5 (your responsibilities), 11, 12, 13, 14 and 16 survive the end of the agreement.
16. Law and disputes
These terms are governed by the laws of Morocco. The courts of Morocco have exclusive jurisdiction, unless the law gives you a right to sue elsewhere.
17. Changes to these terms
We may update these terms. We will post the new version here with a new date. For important changes we will tell you at least 30 days before they apply. If you keep using the app after that, the new terms apply.
18. Everything else
If a part of these terms is unenforceable, the rest still applies. If we do not enforce a right, we have not given it up. You may not transfer this agreement without our consent; we may transfer it to a person or company that takes over the app. These terms, with the Privacy Policy and the Data Processing Addendum, are the whole agreement about the app.
